Roomii Terms of Service

1. Overview
Roomii, Inc. (“Roomii,” “we,” “us,” or “our”) operates an online marketplace that connects users to buy, sell, and rent furniture.
By accessing or using the Roomii platform (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.
2. Eligibility
The Services are intended solely for individuals who are at least 18 years old.
By using Roomii, you represent and warrant that you meet this requirement.
3. Registration & Accounts
To access certain features, you must create a Roomii account.
You agree to:
- provide accurate, current, and complete information
- keep your account updated
- maintain the confidentiality of your login credentials
You may register using:
- email and password
- or third-party services (e.g., Apple, Google, Facebook)
Roomii may require additional information depending on your activity (buying, renting, or listing).
We reserve the right to:
- approve or deny account registration
- suspend or terminate accounts at our discretion
4. Verification
Roomii may, but is not obligated to, perform verification checks on users.
This may include:
- identity verification
- payment validation
- background or eligibility checks (where permitted)
By using the Services, you authorize Roomii to request, receive, and store such information.
Roomii does not guarantee:
- the identity of users
- the condition of items
- the outcome of any transaction
5. Fees & Payments
All fees are presented at checkout before completing a transaction.
By providing a payment method, you authorize Roomii (and its third-party providers) to:
- store your payment credentials
- charge your account for applicable fees
These may include:
- purchase or rental payments
- service fees
- late fees
- damage-related charges
- administrative or processing fees
For rentals:
- billing begins on the agreed start date (typically delivery)
- failure to pay may result in penalties or account suspension
6. Collection of Fees
Roomii may use all lawful means to collect unpaid balances.
This may include:
- charging stored payment methods
- engaging collection agencies
- pursuing legal action
Roomii or its partners may report unpaid balances to credit bureaus.
Users may be responsible for:
- collection fees
- legal costs
- third-party charges
7. Taxes
Applicable taxes may be charged depending on your location.
Roomii may collect and remit taxes where required by law. Taxes will be clearly displayed during checkout and in transaction records.
8. Listings & User Responsibilities
Users who list items (“Sellers”) are responsible for:
- accurate descriptions
- truthful images
- ensuring items are in the stated condition
Users who purchase or rent items (“Buyers” or “Renters”) are responsible for reviewing listings carefully before completing transactions.
9. Acceptable Use
You agree not to:
- engage in fraudulent or deceptive activity
- misrepresent items or information
- interfere with the operation of the platform
Roomii reserves the right to suspend or remove users who violate these Terms.
10. Intellectual Property
All content, branding, and platform materials are owned by Roomii or its licensors.
You may not copy, reproduce, or distribute any content without permission.
11. Privacy
Your use of the Services is governed by our Privacy Policy.
12. Account Termination
Roomii may suspend or terminate your account at any time for violations of these Terms or other risks to the platform.
13. Dispute Resolution & Governing Law
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Roomii platform — including disputes about the existence, validity, or termination of these Terms — shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.
By agreeing to these Terms, you waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.
Exceptions: Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction in Illinois to prevent irreparable harm pending arbitration. Small claims court actions within applicable limits are also exempt.
The arbitration shall take place in Cook County, Illinois, or remotely if mutually agreed. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Roomii will pay arbitration filing fees for claims under $10,000 unless the arbitrator determines the claim is frivolous.
14. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Roomii may assign its rights and obligations under these Terms.

16. Marketplace Role & Transaction Structure
Roomii operates as a marketplace that connects users for the leasing, sale, and transfer of furniture.
Roomii is not:
- the owner of the listed furniture
- the manufacturer of goods
- the carrier or logistics provider
Roomii facilitates transactions and may coordinate third-party services, but all transactions are between users.
Roomii does not guarantee:
- the condition of any item
- the performance of any user
- delivery outcomes
17. Shipping, Delivery & Third-Party Carriers
Roomii may coordinate shipping through third-party carriers.
Users acknowledge:
- Carriers are independent contractors and not agents of Roomii
- Delivery timelines are estimates and not guaranteed
- Roomii does not control carrier hiring, handling, or conduct
Roomii is not liable for:
- delays
- damages during transit
- theft or loss during delivery
18. Risk of Loss & Transfer of Responsibility
- For sales: Risk transfers to the buyer once the item is picked up by the carrier
- For rentals: Risk transfers to the renter upon delivery
Users are responsible for:
- securing insurance if desired
- ensuring safe delivery environments
19. Inspection, Acceptance & Claims
Users must inspect items immediately upon delivery.
- Upon delivery, renters are encouraged to inspect items immediately and document any pre-existing damage with photos before use. Renters must report damage, defects, or discrepancies within 72 hours of delivery by submitting a claim through the Roomii platform with supporting photos and documentation. Claims submitted after 72 hours may be denied at Roomii’s discretion. This window is intended to provide renters reasonable time to inspect items while protecting owners from claims arising from renter use.
- Sales-related issues must be reported within 3 days
Failure to report within this timeframe constitutes automatic acceptance.
Claims must include:
- photos
- supporting documentation
Roomii reserves the right to deny claims submitted outside required windows.
20. Condition, Listings & “As-Is” Disclaimer
All items are listed by users and are provided “as-is” unless otherwise stated.
Sellers are solely responsible for:
- accuracy of descriptions
- condition of items
Roomii does not:
- inspect items
- verify condition
- guarantee suitability
21. Rentals – Responsibility & Damage
For rental transactions:
- Ownership remains with the owner
- Renters assume full responsibility upon delivery
Renters are liable for:
Roomii may charge payment methods on file for:
- damages
- late fees
- unreturned items
21 A. Insurance Requirements
Renters are required to maintain a valid renters insurance policy for the duration of any rental period. The policy must provide a minimum of $100,000 in personal liability coverage. Proof of coverage may be requested by Roomii at any time.
Owners listing furniture for rent are required to maintain a valid homeowners or renters insurance policy that covers personal property made available to third parties. Owners acknowledge that standard homeowners policies may not cover peer-to-peer rental activity and are solely responsible for confirming adequate coverage with their insurer.
Roomii does not verify the adequacy of any user’s insurance policy and makes no representation that a user’s insurance will cover any particular claim. Failure to maintain required insurance does not limit a user’s liability to Roomii or other users under these Terms.
22. Returns & Refunds
- All sales are final
- Rental returns are only permitted for damage reported within 24 hours of delivery
- Damage caused by third-party carriers is not guaranteed to be covered by Roomii
23. Limitation of Liability
To the maximum extent permitted by law:
- Roomii shall not be liable for indirect, incidental, or consequential damages
- Roomii’s total liability shall not exceed the total amount paid for the transaction
This includes:
- delivery issues
- theft
- damage claims
24. Indemnification
Users agree to indemnify and hold harmless Roomii from any claims arising from:
- condition or use of furniture
- actions of third-party carriers
- disputes between users
- violations of these Terms
25. Force Majeure
Roomii is not responsible for delays or failures due to:
- carrier disruptions
- weather
- supply chain issues
- events beyond reasonable control
